Contractor Addendum Terms
This Contractor Addendum applies to services and deliverables provided to The Coco Candle Co. through Fiverr, including any Fiverr order, custom offer, order requirements, or Fiverr messages related to the project.
Completion of this form does not move the project outside of Fiverr. Project communication, payment, delivery, revisions, and dispute handling should remain inside Fiverr unless otherwise permitted by Fiverr’s terms.
1. Project Scope
The services and deliverables are those agreed to in the Fiverr order, custom offer, order requirements, or Fiverr messages.
This form does not change the scope, price, payment method, delivery method, revision terms, or timeline of the Fiverr order.
2. Confidential Information
Contractor may receive non-public information from The Coco Candle Co., including but not limited to business ideas, product concepts, brand strategy, supplier information, pricing, customer information, product formulas, fragrance concepts, designs, website content, product details, marketing plans, legal materials, documents, images, files, and other business information.
Contractor agrees to keep this information confidential and to use it only for completing the Fiverr order.
Contractor shall not disclose, publish, share, copy, reproduce, sell, repurpose, or use The Coco Candle Co.’s confidential information for any purpose other than completing the order without prior written permission.
3. Buyer Materials and Brand Assets
Any materials provided by The Coco Candle Co. remain the property of The Coco Candle Co.
Contractor receives only a limited right to use those materials as necessary to complete the Fiverr order.
Contractor shall not use The Coco Candle Co.’s business name, logos, images, documents, product concepts, brand concepts, website materials, packaging concepts, customer information, supplier information, or other materials for any purpose outside the order without written permission.
4. Ownership of Final Custom Deliverables
Upon full payment through Fiverr, The Coco Candle Co. owns the final custom deliverables created for the order to the fullest extent permitted by law.
To the extent any final custom deliverable does not qualify as a work made for hire, Contractor assigns to The Coco Candle Co. all intellectual property rights Contractor owns in the final custom deliverables, including copyright and all rights to use, edit, reproduce, publish, distribute, display, advertise, sell, and create derivative works from the deliverables worldwide.
Contractor waives any claim for additional compensation for The Coco Candle Co.’s future use of the final custom deliverables.
5. Commercial Use
Contractor confirms that The Coco Candle Co. may use the final custom deliverables for commercial and business purposes, including but not limited to websites, social media, advertising, email marketing, packaging, product labels, product listings, printed materials, digital products, presentations, and brand promotion.
If the Fiverr gig requires a separate commercial-use license, broadcast license, or other usage upgrade, Contractor must clearly identify that requirement before work begins.
6. Third-Party Assets, Templates, Stock Materials, and AI Disclosure
Contractor shall not include third-party materials in the deliverables unless Contractor has the right to use those materials for The Coco Candle Co.’s intended commercial purpose.
Contractor must disclose any third-party, pre-existing, stock, template-based, or AI-generated materials used in the deliverables, including but not limited to:
Stock images
Fonts
Icons
Canva assets
Templates
Mockups
Music
Video clips
Voice libraries
AI-generated content
Open-source materials
Plugins
Pre-existing designs
Pre-existing code
Any other third-party or licensed materials
Contractor must identify any license restrictions, attribution requirements, resale restrictions, or limits on commercial use.
Contractor represents that, to the best of Contractor’s knowledge, the deliverables do not infringe the rights of any third party.
7. Source Files and Editable Files
If source files, editable files, layered files, design files, working files, or project files are included in the Fiverr order or custom offer, Contractor shall provide those files upon delivery.
Examples may include Canva links, Adobe Illustrator files, Photoshop files, InDesign files, Figma files, SVG files, editable document files, source code, layered mockups, or other applicable working files.
8. No Reuse, Resale, or Repurposing
Contractor shall not resell, reuse, redistribute, publish, license, or repurpose The Coco Candle Co.’s custom deliverables for another client or project without written permission.
This does not prevent Contractor from using general skills, techniques, or know-how learned while completing the order.
9. Portfolio and Public Display
Contractor may not display the deliverables, The Coco Candle Co.’s name, logos, products, screenshots, mockups, project files, or project details in a portfolio, social media post, case study, advertisement, gig image, or public sample without prior written permission.
10. Subcontractors
Contractor may not share The Coco Candle Co.’s confidential information, business materials, project files, or brand assets with subcontractors, assistants, agencies, or third parties unless The Coco Candle Co. gives written permission.
If subcontractor use is approved, Contractor remains responsible for ensuring the subcontractor follows these confidentiality, ownership, and disclosure terms.
11. Return or Deletion of Materials
Upon request, Contractor shall delete or return The Coco Candle Co.’s confidential materials, files, documents, images, and business information, except for records Fiverr requires Contractor to retain for order, payment, tax, or legal compliance.
12. Contractor Acknowledgment
By submitting this form, Contractor confirms that they have reviewed and agree to these Contractor Addendum Terms.
